Terms of Service

1. Introduction

1.1. Terms

  • “Company", "Noah’s Farm”, “NF”, “us”, “we”, or “our” means Noah's Farm Pte. Ltd.

  • "Terms", "Terms of Service", or "ToS" means this Terms of Service of Noah's Farm

  • "Site" means noahs-farm.xyz

  • "Third-Parties" means any organizations that is not Noah's Farm, its parent, or its subsidiary, and their websites, content, or services which are neither owned nor controlled by Noah’s Farm

1.2. Agreement

Please read these Terms of Service carefully before using or accessing any part of noahs-farm.xyz operated by Noah’s Farm Pte. Ltd. Your access to and use of the Site is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, contributors, and anyone who accesses or uses the Site. By accessing or using the Site you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Site. By entering into this Agreement, you:

  • Represent and warrant  that you are of the “Minimum Age” (16 years old) or older. However, if the law where you reside requires that you must be older in order for Noah’s Farm to lawfully provide the Site to you without parental consent (including the use of  your personal data) then the Minimum Age is such age as designated by law.

  • Agree to receive communications from us, including email, or other electronic means related to the operation of the Site.  Promotional communications will be sent only where permitted by applicable law, and you may opt out by following the unsubscribe instructions in an email 

 

1.3. Termination

We may terminate or suspend access to our Site immediately, without prior notice or cause. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

1.4. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time by providing a reasonable notice of any material changes including by posting the updated Terms on the Site. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after those changes become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, do not use or access the Site.

 

 

2. Rights & Limits

2.1. Intellectual Property Rights

Noah’s Farm reserves all of its intellectual property rights in the Site, including but not limited to codes, architecture, infrastructure, and content that was not contributed by a visitor, user, or third-party. Trademarks and logos used in connection with the Site are the trademarks of their respective owners.

 

2.2. Links to Third-Party Websites, Content, or Services

Our Site may contain links to third-party websites, content, or services that are not owned or controlled by Noah’s Farm. We have no control over, and assume no responsibility or liability for, the content, terms, privacy policies, or practices of any Third-Parties. It is strongly recommended that you read the terms of service and privacy policies of any Third-Parties that you visit or access. You acknowledge and agree that Noah’s Farm is neither liable nor responsible, and thus you agree not to hold Noah’s Farm liable or responsible for the conduct of Third-Parties, including operators of external websites and services, and that the risk and responsibilities of injury from such Third-Parties rest solely with you.

 

2.3. Limitations on Liability

To the fullest extent permitted under applicable law, Noah’s Farm shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of revenue or profits, data, or data use arising in connection with your use or inability to use the Site.​

2.4. Indemnification

You agree to indemnify and hold Noah’s Farm, its parents, subsidiaries, affiliates, officers, employees, agents, partners, suppliers, and licensors harmless from any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of any and all of the following: (a) your use of, or inability to use, the Site, whether in whole or in part; (b) your violation of the Agreement; (c) your violation of any applicable laws, rules or regulations.

3. Miscellaneous

3.1. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

 

3.2. Severability

If a particular provision of this Agreement is found to be invalid or unenforceable, it shall not affect its other provisions and this Agreement shall be construed in all respects as if such invalid or unenforceable provision had been omitted.

 

3.3. Waiver

If we don't act to enforce a breach of these Terms, that does not mean that Noah’s Farm has waived its right to enforce these Terms or our Agreement with you. You may not assign or transfer to anyone without our consent. However, you agree that Noah’s Farm may assign these Terms and our Agreement with you without your consent to its affiliates, parents, subsidiaries, or parties that are  involved in corporate transactions, such as buying or selling of the company, businesses, or assets, with Noah's Farm. There are no third-party beneficiaries to these Terms.

 

3.4. No Warranty

Noah’s Farm makes no representation or warranty about the Site, including any representation that the Site will be uninterrupted or error-free, and provides the Site (including content and information) on an “as is” and “as available” basis. To the fullest extent permitted under applicable law, we disclaim any implied or statutory warranty, including any implied warranty of title, accuracy of data, non-infringement, merchantability, or fitness for a particular purpose.

  • Any content downloaded from, shared, or otherwise accessed through the Site is accessed at your own risk and volition, and you shall be solely responsible for any damage to your property, including but not limited to, your device you use to access the Site, or any other form of damage or loss that results from you accessing such content. 

  • Any advice or information provided through the Site or by any member of Noah’s Farm team is not intended to constitute legal, accounting, financial, or any other form of professional advice. You should always consult your attorney, accountant, or other appropriate professional counsel for advice before making important personal or professional decisions.

  • From time to time, Noah’s Farm may offer “Alpha”, “Beta”, or “Test” features, tools, or versions of the Site with which selected users may access. These are provided for experimental purposes and do not provide warranty of any kind, and may be modified or discontinued at our sole discretion at any time.

 

3.5. INTERNATIONAL USERS

The Site can be accessed from countries around the world and may contain references to materials or content that are not available in your country. These references do not imply that we intend to announce and provide all materials and content in all countries and regions. Noah’s Farm makes no representations that the Site is appropriate or available for use in all locations. Those who access or use the Site from various countries do so at their own will and must self-check for legal compliance with their respective local law. International users agree that disputes will be resolved under the Singapore law in accordance with the Governing Law and Jurisdiction section of these Terms.

 

3.6. Entire Agreement

These Terms (including additional terms that may be provided by us when you engage with a feature, page, or content of the Site) is the only agreement between us regarding the Site and supersedes all prior agreements for the Site.

4. Other Things

You agree that you will not:

  • Develop, support or use software, devices, scripts, robots or any other means or processes (including crawlers, browser plugins and add-ons or any other technology) to scrape the Site or otherwise copy profiles and other data from the Site;

  • Override any security feature or bypass or circumvent any access controls or use limits of the Service;

  • Copy, use, disclose or distribute any information obtained from the Site, whether directly or through Third Parties (such as search engines), without our consent;

  • Disclose information that you do not have the consent to disclose (such as confidential information of others (including your employer));

  • Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets or other proprietary rights;

  • Violate the intellectual property or other rights of Noah’s Farm, including, without limitation, (i) copying or distributing our technology, unless it is released under open source licenses; (ii) using the word “Noah’s Farm”, “NF”, or our logos in any business name, email, or URL without our express consent in writing;

  • Use bots or other automated methods to access the Site;

  • Harvest or otherwise collect or disclose information about other users without their consent;

  • Monitor the Site’s availability or functionality for any competitive purpose;

  • Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Site;

  • Overlay or otherwise modify the Site or their appearance (such as by inserting elements into the Site or removing, covering, or obscuring an advertisement included on the Site); or

  • Interfere with the operation of, or place an unreasonable load on, the Site (e.g., spam, denial of service attack, viruses, gaming algorithms).
